1. Acceptance of terms

By accessing or using the ConsultBooks website, application, or Claude MCP connector (together, the "Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation. If you do not agree, please do not use the Service.

2. The Service

ConsultBooks is an AI-native, GST-compliant accounting platform that helps you create invoices, manage clients and expenses, compute GST and TDS, reconcile bank statements, and run compliance checks. The Service is operated by AI Guild Partners. We may add, change, or remove features over time to improve the Service.

3. Accounts & eligibility

You must provide accurate account information and keep it up to date. You are responsible for safeguarding your login credentials and for all activity under your account. The Service is intended for businesses and users aged 18 or over. Notify us promptly of any unauthorised use.

4. Plans, trials & billing

• Free plan — available at no cost with usage limits as described on our pricing page.
• Paid plans — billed monthly or annually at the rates shown at sign-up. Paid plans include a 14-day free trial; no credit card is required to start.
• Renewals — paid plans renew automatically at the end of each billing period unless cancelled beforehand. You can cancel at any time, effective at the end of the current period.
• Changes — we may change prices with reasonable advance notice; changes take effect on your next billing cycle.
• Taxes — fees are exclusive of applicable taxes unless stated otherwise.

5. AI features & the Claude MCP connector

The Service includes a built-in AI assistant and an optional Claude MCP connector. AI-generated output (such as drafted invoices, summaries, or compliance notes) may contain errors and is provided to assist you — not to replace your judgement. You are responsible for reviewing AI output before relying on or acting on it. If you connect Claude, your use is also subject to Anthropic's terms, and you authorise data exchange between ConsultBooks and Claude as needed to fulfil your requests.

6. Your data & responsibilities

You retain ownership of the data you put into the Service ("Your Data"). You grant us a limited licence to host, process, and display Your Data solely to provide and improve the Service. You are responsible for the accuracy and legality of Your Data, for maintaining your own records as required by law, and for ensuring you have the rights to upload any data you provide. You can export Your Data at any time, including after cancellation.

7. Acceptable use

You agree not to misuse the Service, including: violating any law; uploading unlawful, infringing, or malicious content; attempting to gain unauthorised access; interfering with or disrupting the Service; reverse-engineering except as permitted by law; or using the Service to build a competing product. We may investigate and take action, including suspension, for violations.

8. Intellectual property

The Service, including its software, design, logos, and content (excluding Your Data), is owned by AI Guild Partners and its licensors and is protected by intellectual-property laws. These Terms do not grant you any right to our trademarks or branding except as needed to use the Service.

9. Third-party services

The Service relies on third-party providers including Supabase (database, authentication, and storage), Cloudflare (hosting and network), Anthropic (Claude, when enabled), and Google (sign-in, when used). Your use of those features may be subject to the providers' own terms. We are not responsible for third-party services outside our control.

10. Disclaimer — not tax or legal advice

ConsultBooks is accounting software, not a tax advisor, chartered accountant, or law firm. The Service — including GST computation, TDS calculation, compliance checks, and AI output — is provided for your convenience and does not constitute professional tax, accounting, or legal advice. You remain responsible for your tax filings and compliance. We recommend consulting a qualified professional for filings and advice. The Service is provided "as is" and "as available" without warranties of any kind to the maximum extent permitted by law.

11. Limitation of liability

To the maximum extent permitted by law, AI Guild Partners and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total aggregate liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months preceding the claim.

12. Suspension & termination

You may stop using the Service and cancel your plan at any time. We may suspend or terminate your access if you breach these Terms, fail to pay fees, or use the Service in a way that risks harm to others or to the Service. Upon termination, your right to use the Service ends, but you may export Your Data for a reasonable period as described in our Privacy Policy.

13. Governing law

These Terms are governed by the laws of India, and the courts of India will have jurisdiction over any disputes, subject to any mandatory consumer-protection rights you may have.

14. Changes to these terms

We may update these Terms from time to time. We will update the "Last updated" date and, for material changes, provide additional notice through the Service. Continued use after changes take effect constitutes acceptance.
